Fiton Technologies Corp. Completes
Amalgamation
Toronto, Canada: Fiton Technologies Corp.
Fiton Technologies Corp.
(“Fiton”) announced that it has completed
its previously announced going private
transaction by way of amalgamation with
615936 N.B. Ltd. (“Numberco”), its largest
shareholder, as approved by the shareholders
of Fiton in a special meeting held on
January 6, 2005. Fiton and Numberco filed
articles of amalgamation which became
effective on January 7, 2005. Fiton is in
the process of notifying appropriate
regulatory bodies including participants in
the Electronic Quotation Service in the
United States of its intention to have its
common shares no longer listed for trading
on the OTC market.
With the completion of
the amalgamation, shareholders of Fiton
(other than Numberco and shareholders who
chose to exercise dissent rights in respect
to the transaction) received one Amalco
Redeemable Class A Preferred Share (“Amalco
Class A share”) of the corporation resulting
from the amalgamation (“Amalco”) for each
common share of Fiton they owned. Amalco
will redeem each Amalco Class A share for
$0.0683 in cash. Registered shareholders of
Fiton have been asked to submit their shares
to its transfer agent, Equity Transfer
Services, as soon as possible, together with
a duly completed letter of transmittal and
related documentation in order to obtain
their redemption proceeds. Non-registered
shareholders should consult their brokers.

ANNOUNCES
SIGNING OF US$7,250,000 REMEDIATION CONTRACT
WITH GOVERNMENT OF BARBADOS
Toronto, Canada: Fiton Technologies Corp. (Pink Sheets: FTCUF) is pleased to announce that it has signed a US$7,250,000 contract with the Government of Barbados for the cleanup of the former Mobil refinery site at Needham's Point, St. Michael, Barbados.
Under the terms of a binding Memorandum of Understanding, signed by Fiton Technologies Corp. and the Government of Barbados in May of 2003, Fiton Technologies Corp. completed Phase One, the planning phase, of the project. This contract will enable actual site work to commence within 6 weeks of the signing.
Speaking at the signing ceremony at the National Petroleum Corporation's headquarters, Minister of Energy and Public Utilities, Anthony Wood, stated that Government is aware of the negative impact environmental damage has on Barbados' tourism industry, and that the cleanup of the Needham's Point area has become especially important since the area has been earmarked for tourism development.
Dr. Godknows Itamunoala, Chairman and CEO of Fiton said that 99 percent of the workers on the project will be Barbadian, and that the company will be training local workers in the use of bioremediation technology. Dr. Itamunoala added that this contract will be an important catalyst for several other remediation projects currently in development.

Announces
Completion of Corporate Restructuring
Toronto, Ontario, CANADA - Fiton Technologies Corp. (Pink Sheets: FTCUF) is pleased to announce that pursuant to an Annual and Special Meeting of the shareholders of the Company held on January 9, 2004, the shareholders approved a consolidation of the common shares of the Company on a basis of one (new) share for each 20 (old) shares.
The consolidation is now in effect, and shareholders may submit their old certificates to Equity Transfer Services Inc. in exchange for the new certificates.
Although the Company received approval from its shareholders to change the name of the Company from Fiton Technologies Corp. to “Fiton Group Inc.,” management believes that such a name change would not be in the best interest of the Company at this time. Therefore, the name of the Company will remain “Fiton Technologies Corp.”

ACCEPTANCE OF INCEPTION REPORT

(Pink Sheets: FITNF) is pleased to announce that pursuant to a Memorandum of Understanding with the Government of Barbados its Initial Inception Report ( the “Report”) has now been accepted by the Government of Barbados. As a result, the Company has now received a payment in an amount of US$362,500. The Company has commenced its initial operations in Barbados and has established a field office to conduct the remediation work with respect to the clean up of a contaminated site previously used as a petrochemical refinery. It is anticipated that the fieldwork will commence on or about November 2003.

- USD 7.25 Million Contract
Fiton Technologies Corp. is pleased to announce that it entered into a Memorandum of Understanding, on May 21, 2003, with the Government of Barbados (Ministry of Economic Development) for an amount of USD 7,250,000 to provide on-site remediation of the former Mobil refinery site.
Fiton has received its initial mobilization payment from the Government of Barbados for USD 725,000 and will commence its activities under the terms of the Memorandum of Understanding immediately.
